# Noemire — Terms of Service **Version:** 2026-08-17 **Governing law:** Arab Republic of Egypt > These terms are a good-faith engineering draft prepared alongside the v1 > implementation. They have **not** been reviewed by a qualified lawyer and > must be before Noemire is made available to the public. --- ## 1. What Noemire Is Noemire is a free social platform where people write ideas and trade in-platform access to them using **VaultCoin**, a closed-loop virtual point system. Noemire is **not** a financial exchange, an investment platform, a securities market, a gambling service, or a registry of intellectual property. ## 2. Terminology Disclaimer The words **"buy," "sell," "own," "owner," "price," "market," "stock," "trade," and "portfolio"** describe in-platform access and game mechanics only. They never denote property rights, securities, financial instruments, investments, or intellectual-property rights of any kind. Nothing on Noemire is an offer, solicitation, or recommendation to invest. ## 3. VaultCoin VaultCoin has **no monetary value**. It: - cannot be purchased with money; - cannot be exchanged, redeemed, or cashed out for money or anything of value; - cannot be transferred to another user except through the in-platform mechanics described in these terms; - cannot be moved off the platform; - may be adjusted, reset, or discontinued at any time. VaultCoin is not e-money, not a payment instrument, not a security, and not a crypto-asset. ## 4. Authorship and Copyright **The author retains copyright in the text of their idea at all times.** No action on Noemire transfers, assigns, or licenses copyright between users. Selling an idea on Noemire does not sell the idea, the copyright, or any exclusive right. By publishing an idea you grant Noemire a non-exclusive, worldwide, royalty-free licence to store, display, and transmit that text solely to operate the platform. ## 5. What Buying Actually Grants Acquiring an idea grants you a **personal, non-transferable, revocable licence** to: - read the full text of that idea; and - write comments on it, **only while you are its current owner.** This licence: - grants **no copyright** and no exclusive right of any kind; - does **not** prevent the author, or any other person, from independently using, publishing, or commercialising the same idea outside Noemire; - does **not** make the idea confidential; - **terminates automatically** the moment the idea is sold, including where the seller is the original author. ## 6. No Exclusivity of Underlying Ideas Noemire is not a registry of ideas and performs **no novelty, prior-art, originality, or intellectual-property clearance review** whatsoever. Two users may publish substantially identical ideas. Being the first to publish an idea on Noemire confers no legal right over it and is not evidence of authorship, invention, or priority in any jurisdiction. ## 7. Your Warranties By publishing an idea you warrant that: - you wrote the text yourself; - it infringes no copyright, trademark, patent, trade secret, privacy, or other right of any person; - it contains no confidential information you are not authorised to disclose; - it contains no personal data of another person published without their consent. ## 8. Comments Comments attach to the idea, not to their author's ownership. Comments accumulate across every successive owner and are **never deleted on transfer**. They remain visible to whoever is the current owner, indefinitely. A past owner who sells loses access to comments they personally wrote unless they reacquire the idea. ## 9. Versions and editing An idea may be edited **only by its author, and only while the author is also its current owner**. Once an idea is sold it can never be edited again, by anyone, unless the author buys it back. Every edit: - permanently records the replaced text as a version, which the current owner can read at any time; - **resets the idea's price** to its launch price, or to its current price if that is already lower, and clears its trade history. An edit never raises the price; - removes the idea from sale; - leaves existing comments in place, marked with the version they were written against. Text can never be changed silently. The database rejects any change that is not a complete, recorded edit. Administrative removal under section 10 is separate, and a removed idea cannot be edited at all. ## 10. Prohibited Content, Removal and Suspension You must not publish content that is unlawful, infringing, defamatory, hateful, harassing, sexually explicit, violent, deceptive, or that discloses another person's private information. We may **remove any idea from circulation at any time**, with or without notice, where we believe in good faith it violates these terms or the law. Removal is implemented as a flag rather than destruction: the text is retained so that existing owners are not silently deprived of what they acquired, and so a record survives for any dispute. A removed idea disappears from timelines and cannot be bought. We may suspend or terminate any account for breach of these terms. ## 11. Minimum Age You must be **at least 16 years old** to use Noemire. If you are under 16, you may not create an account. ## 12. Account Deletion You may delete your account at any time. Deletion **anonymises** your account: your email address, display name, and credentials are severed from your records. **Ideas and comments you authored are retained.** Their text remains visible to the users who currently own access to them. This is a deliberate design consequence of other users having acquired access to that content, and is described further in the Privacy Policy. ## 13. No Warranty; Limitation of Liability Noemire is provided "as is," without warranties of any kind. To the maximum extent permitted by Egyptian law, we are not liable for any indirect, incidental, or consequential loss, or for any loss of VaultCoin, ideas, access, or data. Because VaultCoin has no monetary value, no loss of VaultCoin constitutes a financial loss. ## 14. Changes We may amend these terms. Material changes will be notified in-platform, and the version identifier at the top of this document will change. Continued use after a change constitutes acceptance. ## 15. Governing Law and Jurisdiction These terms are governed by the laws of the Arab Republic of Egypt. The courts of Cairo have exclusive jurisdiction over any dispute.
